Universal Health Services (UHS), a strategic buyer and behavioral health services provider, has announced an agreement to acquire Talkspace, the virtual mental health platform, for $835 million. Under the terms disclosed, UHS will pay $5.25 per share for Talkspace, representing a premium to the company’s prior trading price. The transaction is expected to close in the third quarter of 2026, subject to customary conditions.
UHS operates a network of inpatient behavioral health facilities across the U.S., and the deal is positioned as an expansion of its outpatient capabilities in mental health care. Talkspace provides digital access to behavioral health services, reflecting UHS’s broader push to integrate technology-enabled care delivery into its service lines. The acquisition also underscores continued consolidation in digital behavioral health, where providers seek scale, distribution, and clinical infrastructure to support growth after the volatility of the post-pandemic period.
Financially, Talkspace reported $228 million in revenue in 2025 and $7.8 million in net profit. UHS reported $17.4 billion in 2025 revenue. UHS’s chief financial officer indicated the acquisition is intended to accelerate UHS’s growth in outpatient services, aligning the provider’s footprint with Talkspace’s virtual care model.
