Scientia Vascular Acquired by Medtronic — Healthcare M&A

Medtronic has entered into a definitive agreement to acquire Scientia Vascular, a neurovascular medical devices company focused on access technologies. The transaction is valued at about US$550 million, subject to customary purchase price adjustments, with the possibility of additional post-closing earn-out and milestone payments. The deal is expected to close in the first half of Medtronic’s 2027 financial year, and is described as minimally dilutive to adjusted earnings per share in FY27 and accretive thereafter.

Scientia Vascular’s platform centers on guidewires and catheters designed to improve navigability through complex neurovascular anatomy and simplify procedures for physicians treating conditions including hemorrhagic and acute ischemic stroke. Medtronic, which operates in the neuroscience and neurovascular space, is positioning the acquisition to expand its coverage across the full procedural workflow by adding Scientia’s access portfolio to its existing neurovascular therapies. The combined offering targets a core procedural need in neurointerventional care: reliable, efficient access using microwires and microcatheters.

While specific advisor and closing conditions beyond standard terms were not detailed, the agreement underscores Medtronic’s strategy to build a more complete neurovascular product suite through a platform acquisition. If completed as planned, the transaction would strengthen Medtronic’s guidewire and access capabilities and broaden its ability to support neurointerventional workflows globally.
