PROS B2B unit Acquired by Thoma Bravo — Technology M&A

Thoma Bravo has acquired PROS Holdings B2B unit, a enterprise software business in Hungary, for $1.2 billion. PROS Holdings’ B2B unit supports document automation and workflow software used by businesses, aligning with Thoma Bravo’s focus on enterprise software acquisition in technology M&A. Conga Corp., backed by Thoma Bravo, provides SaaS document automation capabilities that can be integrated into broader enterprise systems in Hungary. The add on acquisition is reported as an add-on acquisition and remains rumoured, with Deutsche Bank Group unable to sell about $1.2 billion of acquisition loans and instead funding the purchase via a $625 million term loan plus a refinancing of a $540 million 2028 loan.
