Owen Mumford Acquired by embecta — Healthcare M&A

embecta, a Nasdaq-listed public company focused on diabetes care technology, has signed a definitive agreement to acquire Owen Mumford Holdings Limited, a privately held UK-based medical devices and drug-delivery technology manufacturer. The transaction is valued at up to £150 million (over $100 million), with an upfront cash payment of £100 million at closing, subject to customary adjustments including for net cash. embecta will also pay up to an additional £50 million in performance-based consideration tied to net sales of Owen Mumford’s Aidaptus next generation auto-injector platform over the three years following the deal’s completion.

The acquisition is positioned to strengthen embecta’s participation in the expanding drug-delivery devices market serving both generic and branded therapies, while supporting its broader shift toward becoming a diversified medical supplies company. Owen Mumford brings a portfolio spanning drug-delivery platforms and medical devices, including an established pharmaceutical services business built on its autoinjector heritage, as well as product lines across point-of-care testing, self-injection and pelvic health devices. Its manufacturing and commercial footprint are intended to complement embecta’s existing diabetes care franchise and global infrastructure.

The deal was unanimously approved by embecta’s board and is expected to close in embecta’s fiscal third quarter of 2026, subject to regulatory approvals and other customary closing conditions. The structure links a portion of the purchase price to commercial performance of the Aidaptus platform, aligning consideration with expected revenue generation post-close.
