Enhabit Home Health and Hospice, a Dallas-based national provider of home health and hospice services, has agreed to be acquired by Kinderhook Industries in an all-cash going-private transaction valued at about $1.1 billion. The deal will take Enhabit private, with Enhabit continuing to operate under its existing Enhabit name and brand. Enhabit shareholders will receive $13.80 per share in cash, a premium to recent trading prices, and the transaction is expected to close in the second quarter of 2026, subject to stockholder approval, regulatory clearances and customary closing conditions.

Enhabit operates 249 home health locations and 117 hospice locations across 34 states, serving patients in home-based settings. The acquisition reflects ongoing private equity interest in healthcare services platforms with established regional footprints and scalable care delivery models, particularly in home health and hospice where demand is supported by aging demographics and the shift toward outpatient and home-based care.

Under the agreement, Enhabit’s board unanimously approved the transaction. Kinderhook, a New York City private equity firm, said it plans to provide long-term capital and support for investments in clinical excellence, innovation and its workforce, aiming to reduce the short-term pressures associated with public-market ownership.
