Upgrade Energy Acquired by Unusual Machines | Manufacturing M&A Deal

Unusual Machines has completed the acquisition of Upgrade Energy, a industrial equipment business in California, for $52 million. Unusual Machines acquisitions add battery and power systems solutions for unmanned aerial systems, strengthening domestic engineering and manufacturing capabilities. Upgrade Energy manufactures high-performance drone batteries and related power systems from its Torrance, CA facility with about 30 engineering and production personnel. The merger acquisition is a strategic acquisition by a public company, valued at approximately $52 million with cash and stock consideration plus a performance-based earnout. Closing is subject to customary conditions, including receipt of an audit for 2025, as Unusual Machines plans to expand battery pack operations with a second production facility in Orlando, FL.
