Prisma and Newpay Acquired by Visa — Financial Services M&A

Announced
Financial ServicesAdd-on

Deal Overview

Visa has entered a definitive agreement to acquire Prisma and Newpay, two Argentina-based payments businesses, from Advent International. The deal is structured as an add-on acquisition and is expected to close during the current quarter, subject to customary closing conditions. Financial terms were not disclosed. Prisma provides processing for credit, debit and prepaid cards, while Newpay offers real-time payments capabilities, an ATM network and a bill payment platform.

The acquisition is positioned to deepen Visa’s footprint in Argentina’s financial services and payments processing market, where demand for digital and contactless payments continues to grow. Visa said the combination of Prisma and Newpay with its existing offerings is intended to accelerate deployment of advanced payment technologies, including tokenization, biometric authentication and risk management tools, as well as broader commerce and authentication capabilities across the payments ecosystem in Argentina.

Visa did not disclose specific integration milestones, but the company framed the transaction as a way to strengthen client partnerships and support modernization of payments infrastructure in the country. Advent said Prisma and Newpay are part of a broader restructuring of Group Prisma during its ownership, with the merchant acquiring business Payway remaining with Advent.
