Jupiter Neurosciences acquisitions focus on central nervous system disorders and neuroinflammation, while PharmAla Biotech Holdings develops and manufactures MDXX-class molecules including ALA-002, a non-racemic MDMA therapeutic. The Jupiter Neurosciences acquires PharmAla Biotech Holdings to secure exclusive, perpetual United States licensing rights for ALA-002, supporting next generation MDMA-based therapy with improved cardiovascular safety and reduced abuse liability. The healthcare M&A deal is a public company acquisition with upfront consideration of $3.33 million plus escrowed funds, single digit royalties, and development milestone payments, with definitive agreement expected within 90 days.
