MaxHealth Acquired by Humana — Healthcare M&A

Humana Inc. has completed the acquisition of MaxHealth, with the transaction executed through CenterWell, Humana’s healthcare services division. The deal is structured as an add-on acquisition and is reported as undisclosed in size. MaxHealth was previously owned by Arsenal Capital Partners and MaxHealth’s founder-shareholders. The combined platform expands Humana’s footprint in physician practice services across Florida, where MaxHealth operates a network of 54 owned primary care clinics, four owned specialty/ancillary clinics, and 24 downstream affiliate clinics serving more than 120,000 patients, including a large base in value-based care programs.

MaxHealth’s clinic network and integrated care model strengthen CenterWell’s ability to deliver coordinated services in West and South Florida, aligning with broader industry trends toward value-based reimbursement and longitudinal patient management. For Humana, the acquisition supports continued scaling of its healthcare services capabilities beyond insurance, with physician practice assets positioned to deepen care delivery and performance in managed care settings.

Legal and regulatory work for the transaction was handled by Latham & Watkins, with a multidisciplinary team advising on corporate, healthcare regulatory, intellectual property, data privacy and cybersecurity, insurance regulatory, tax, benefits, labor, real estate, finance, and environmental matters. The acquisition has now closed, bringing MaxHealth fully into Humana’s CenterWell operating structure.
