For Humana, the acquisition supports continued scaling of its healthcare services capabilities beyond insurance, with physician practice assets positioned to deepen care delivery and performance in managed care settings.

Legal and regulatory work for the transaction was handled by Latham & Watkins, with a multidisciplinary team advising on corporate, healthcare regulatory, intellectual property, data privacy and cybersecurity, insurance regulatory, tax, benefits, labor, real estate, finance, and environmental matters. The acquisition has now closed, bringing MaxHealth fully into Humana’s CenterWell operating structure.
