Deal Overview

GreenShield, a Canadian not-for-profit health and benefits organization, has acquired Kii Health’s Canadian mental health services business in a closed add-on transaction. The deal expands GreenShield Health’s behavioral health capabilities and footprint by bringing in Kii Health’s Employee and Family Assistance Program (EFAP) and Student Assistance Program (SAP), as well as CBT Associates, Therapist Assisted Internet-Delivered Cognitive Behavioral Therapy (TAiCBT) services, and the MindBeacon digital therapy platform. Financial terms were not disclosed.

The acquisition comes as demand for mental health support continues to rise in Canada, with GreenShield pointing to high levels of reported mental health challenges and the importance of benefits in employee retention and wellbeing. Strategically, the move strengthens GreenShield’s “payer-provider” model, in which an insurer or benefits provider not only funds care but also delivers it through integrated clinical and digital assets. It also aligns with a broader market shift toward consolidating mental health services with fewer, more accountable partners that can coordinate access, navigation, and treatment for employers, schools, and public-sector buyers.

GreenShield said the combined platform is intended to support growth in Western Canada and Quebec and to enhance its youth mental health focus, particularly through the addition of Kii Health’s SAP and related campus-oriented services. The transaction was structured as an add-on to GreenShield’s existing mental health operations, with the goal of improving earlier intervention and seamless support for individuals at work, in school, and at home.
