Echo Global Logistics has signed a definitive agreement to acquire ITS Logistics in a platform transaction. The deal combines Echo’s technology-enabled transportation and supply chain management capabilities with ITS Logistics’ modern third-party logistics (3PL) operations. While the transaction value was not disclosed, the combined company is expected to generate pro forma 2025 revenue of approximately $5.4 billion, positioning the combined group as one of the largest third-party logistics platforms in North America. ITS Logistics will continue operating with its existing leadership team and customer-facing structure.
ITS Logistics, headquartered in Reno, Nevada, provides logistics services across asset-lite freight brokerage, intermodal and drayage, dedicated fleet operations, and distribution and fulfillment. Echo, a strategic buyer headquartered in Chicago with a broad North American footprint, brings a managed transportation platform, carrier network, and multimodal and cross-border capabilities. The combination is intended to strengthen customer-facing execution by pairing ITS’ service and operational footprint with Echo’s technology platform and enterprise commercial capabilities, including data-driven innovation.
The transaction is expected to close in the first half of 2026, subject to customary closing conditions and regulatory approvals. J.P. Morgan Securities acted as lead financial advisor to ITS, with Jefferies as financial advisor, and Weil, Gotshal & Manges served as legal counsel. Goldman Sachs was lead financial advisor to Echo, with UBS as financial advisor, and Kirkland & Ellis provided legal counsel.
