Deal Overview

First Community Bankshares, Inc. has completed its merger with Hometown Bancshares, Inc., including Hometown’s wholly owned subsidiary, Union Bank, Inc. The acquisition became effective at the close of business on January 23, 2026, following an agreement announced on July 19, 2025. As part of the transaction, Union Bank was merged into First Community Bank, and Hometown’s eight branch locations in West Virginia began operating as First Community Bank branches on January 26, 2026. The deal is structured as a stock-for-stock merger, with Hometown shareholders receiving 11.706 shares of First Community common stock for each share of Hometown common stock. While the overall deal value was not disclosed, Hometown reported approximately $415 million in total assets and $376 million in total deposits as of late December 2025.

The transaction expands First Community Bankshares’ footprint in the financial services sector, strengthening its presence in West Virginia and positioning the combined company to grow in the Parkersburg–Marietta–Vienna MSA. First Community highlighted its strategy of building low-cost core deposits and extending its community banking model into markets with similar characteristics to its existing footprint. For Hometown and Union Bank, the combination is intended to provide greater scale, lending capacity, and access to enhanced products and technology.

In terms of timing and integration, the merger agreement was finalized and closed in January 2026, with branch rebranding and operational transition occurring immediately thereafter. The completion of the deal brings together two regional banking franchises under First Community’s strategic platform, with Hometown’s shareholders participating through First Community common stock.
