DFSL Acquired by BiomX | Industrials M&A Deal

BiomX has entered an option to acquire DFSL, a industrial services other business in Israel, for about $45 million. DFSL develops proprietary LADAR (laser-radar) detection systems that use laser-based sensing and AI algorithms to identify and respond to UAV and ground intruders for security, defense, and critical infrastructure. BiomX acquisitions in industrials M&A aim to add counter-drone and perimeter security capabilities with reported ~99% accuracy in real-world deployments. The platform acquisition is structured as a public company acquisition with consideration potentially including cash, promissory notes, common stock, and warrants, subject to closing of the underlying agreement and shareholder approval, with a third-party credit line supporting operations and geographic expansion.
